The desk flagged three filings overnight that earned a line in Issue 01. This brief leads with the one we think moves on the open — the other two are in the watchtower.
MRDN — Meridian Freight Solutions
$190M market cap. ~14% of float sitting in registered paper on the prior shelf. After Friday's close a 424B5 hit the wire: a 1.6M-share registered direct at $4.20, mark-to-print 8.4% off the prior close, sole placement agent a regional broker we'd not seen carry the name before.
Why we flagged it overnight: three things lined up — a clean shelf taken down in a single tranche, a 1R-only structure (no overallotment), and a placement agent without prior book in the name. Read together they look less like financing and more like a controlled exit by an early holder. Our default posture is “do not assume issuer-side distress on a sole-agent take-down of this size” — but when the placement agent is unknown and there is no overallotment, the leverage is on the buyers, not on the issuer. The discount is sized to clear in two sessions.
Where risk comes off: if MRDN gaps above the print on day one and fails to clear $4.45 by 10:30 ET, we read the print as absorbed and trim exposure. That pattern has marked every prior shelf takedown in the name we could pull from EDGAR. The watchtower is armed for seven trading days on either (a) a follow-on Form 4 from a section-16 officer, or (b) a sub-$4.10 print on volume.
What we want to confirm before the bell: the selling-shareholder footnote on the 424B5 (public-record pull, ten-minute job), and whether the placement agent's prior three carry trades cleared within size (same). Both are tagged in tomorrow's Issue.
